BriteTrack — Terms of Service

This is a working draft, not legal advice. Have a lawyer review this before you rely on it, especially before accepting payment from users.
1. Acceptance of these terms
By creating an account or using BriteTrack ("the Service," "we," "us"), you agree to these Terms of Service. If you don't agree, don't use the Service.
2. What BriteTrack is
BriteTrack is a financial organization tool for real estate agents. It helps you log deals, track commission-related expenses, estimate a tax reserve, and track recurring costs like license renewals and continuing education deadlines. Deals can be tracked as Active, Closed, or Fallen Through; figures for deals marked Fallen Through are estimates only, on the same basis as all other figures in the Service (see Section 3).
3. Not tax, legal, financial, or licensing advice
This is the most important section. Please read it carefully.
- BriteTrack is a calculation and organization tool, not a licensed tax preparer, accountant, attorney, or financial advisor.
- Tax reserve percentages are entered by you. BriteTrack does not calculate, verify, or guarantee that your entered percentage is correct for your actual tax situation.
- Hawaii General Excise Tax (GET) figures are estimates based on a percentage you provide. BriteTrack does not confirm your GET rate, filing obligations, or compliance status. Hawaii-based users must confirm their actual rate and obligations with a Hawaii-licensed accountant.
- License renewal dates are calculated estimates, based on the license issue date you provide and your state's typical renewal cycle length. Actual renewal rules, dates, and requirements vary by state, may depend on factors BriteTrack does not account for, and can change. You are solely responsible for confirming your actual license renewal date and requirements with your state's real estate licensing board. A missed or incorrect renewal date shown in BriteTrack does not excuse a lapsed license.
- All figures shown in BriteTrack — commission breakdowns, broker splits, deal costs, tax reserves, take-home estimates, budget totals — are estimates for planning purposes only and must be verified independently before you rely on them for tax filing, license compliance, or any other official or financial decision.
4. Reminders and notifications
BriteTrack may display or generate reminders related to license renewals, continuing education deadlines, recurring bills, tax payment dates, or other obligations ("Reminders"). Regarding Reminders:
- Reminders are provided solely as a courtesy and convenience feature. They are not a substitute for your own recordkeeping, calendar, or professional advice.
- We do not guarantee that Reminders will be timely, accurate, complete, delivered, or received. Reminders may fail due to calculation assumptions, data you entered, technical issues, or factors outside our control.
- You are solely and entirely responsible for tracking and meeting every tax payment, license renewal, continuing education requirement, and other deadline or obligation that applies to you — regardless of whether BriteTrack displayed a Reminder, whether that Reminder was accurate, or whether you received it at all.
- The presence, absence, or content of any Reminder does not create any obligation, guarantee, or assurance on our part, and does not excuse or reduce your responsibility to independently verify and meet your obligations.
5. Your account
- You're responsible for keeping your login access secure and for all activity under your account.
- You must provide accurate information when creating deals, expenses, and settings — the accuracy of BriteTrack's output depends entirely on the accuracy of what you enter.
- You must be at least 18 years old to use BriteTrack.
6. Plans and pricing
BriteTrack offers the following subscription plans, billed through our payment processor (Stripe):
- Monthly plan — $10/month, billed every 30 days.
- Annual plan — $96/year, billed once per year (equivalent to a discount versus paying monthly).
- Founding Member plan — $7/month, offered for one month from the day BriteTrack launches. Subscribe inside that window and you keep $7/month for the lifetime of your membership, for as long as your subscription stays continuously active. There is no limit on how many people can take it. Once the window closes the plan is withdrawn, and every new subscription is billed at the standard monthly rate ($10/month as of this writing). Founding Member pricing is tied to continuous subscription — if you cancel, you forfeit the rate, and any subscription you start later is billed at the standard rate in effect at that time.
We may introduce new plans, adjust pricing, or retire plans over time. If we change the price of your active plan, we'll provide notice before the new price takes effect on your next billing cycle.
7. Free trial
- New accounts may be eligible for a 14-day free trial of paid features.
- A valid payment card is required to start a trial. If you do not cancel before the trial ends, your card will be automatically charged for the plan you selected when the trial began.
- Each individual is eligible for one free trial, ever, tied to their email address. This applies across the lifetime of the Service — deleting your account and signing up again with the same email does not grant a new trial. If you've already used your trial, a new account starts directly on a paid subscription rather than a trial period.
- You can cancel during the trial at no charge from the billing screen in Settings, or by contacting us. Canceling during the trial ends access to paid features at the end of the trial rather than continuing into a paid period.
- We may modify or discontinue free trial eligibility at any time; any such change will be reflected in an updated version of these Terms.
7A. Current operational status (temporary — flagged for lawyer review)
As of the date of this draft, automated card payments are not yet live, and public sign-up is closed while that work is finished. Sections 6–9 above describe how the Service will operate once card billing is switched on and sign-up reopens. In the interim, no new accounts can be created, and the demo account is open to anyone and holds sample data only. This section should be read alongside Sections 6–9 and removed once card payments go live — flagging it explicitly so it isn't missed in review.
8. Cancellation policy
How to cancel
You may cancel your subscription at any time from the billing screen in Settings (via Stripe's customer portal) or by contacting us at alex.fudge@gmail.com.
What happens when you cancel
- Cancellation stops all future billing. You will not be charged again after your current billing period ends.
- You keep full access to paid features through the end of the billing period you already paid for — canceling does not immediately cut off access mid-period.
- After your paid period ends, your account moves to a limited, read-only state: you can still view and export your existing data, but you can no longer create or edit deals, expenses, or other paid-feature content until you resubscribe.
- Canceling does not delete your data. Your deals, expenses, and settings remain stored and accessible in read-only/export mode. If you want your data permanently deleted, that is a separate request — see Section 10, "Your data."
Resubscribing
You can resubscribe at any time. Resubscribing restores full access to your existing data and paid features. If you previously held Founding Member pricing and canceled, resubscribing does not restore the Founding Member rate — you'll be billed at the standard rate in effect at the time you resubscribe, since Founding Member pricing is tied to continuous subscription.
9. Refund policy
General rule
Subscription payments are non-refundable for the current billing period once charged. This applies to both monthly and annual plans:
- Monthly plan: if you cancel mid-cycle, you keep access through the end of that month's billing period, but the amount already charged for that period is not refunded.
- Annual plan: if you cancel partway through the year, you keep access through the end of the annual period you paid for, but no partial or prorated refund is issued for the unused portion of the year.
The free trial exists to prevent surprise charges
Because every paid plan is preceded by a 14-day free trial (Section 7), you have the opportunity to evaluate BriteTrack and cancel before any charge occurs. We generally will not issue a refund for "forgetting to cancel" after a trial converts to paid, since the trial and pre-charge notice are designed to prevent exactly that outcome.
Exceptions
We will review and may issue a refund at our discretion in cases such as:
- A duplicate or erroneous charge caused by a billing or technical error on our end.
- A charge that occurred despite a cancellation you submitted before the billing date, where our records confirm the timing error was ours.
- Extended, verified service outages that materially prevented you from using paid features during a billing period.
To request a refund under one of these exceptions, contact us at alex.fudge@gmail.com within 30 days of the charge in question, including your account email and the date of the charge. We'll review and respond within a reasonable time.
Chargebacks
If you believe you were charged in error, please contact us directly first — we can typically resolve billing issues faster than a card-issuer dispute. Filing a chargeback without contacting us first may result in suspension of your account while the dispute is resolved.
10. Your data
- You own the data you enter into BriteTrack (deals, expenses, tax settings, etc.).
- We do not sell your data. See our Privacy Policy for full details on what we collect and how it's used.
- You can export your data yourself at any time using the "Download my data (JSON)" option in Account Settings, and you can delete your account yourself at any time using the "Delete my account" option in the same screen. Deletion is separate from cancellation — canceling a subscription alone does not delete your data (see Section 8).
11. Acceptable use
You agree not to:
- Use BriteTrack for any unlawful purpose.
- Attempt to access another user's data without authorization.
- Reverse-engineer, scrape, or attempt to disrupt the Service.
- Use BriteTrack to store or process data on behalf of others without their consent, if you're using the team/brokerage features.
12. Disclaimer of warranties
BriteTrack is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or that calculations, estimates, or Reminders will be accurate for your specific situation.
13. Assumption of risk
You acknowledge and agree that:
- Tax obligations, license renewal requirements, continuing education requirements, and payment deadlines are your sole legal and professional responsibility as a licensed real estate professional, independent of any tool you use to help track them.
- You are voluntarily choosing to use BriteTrack's estimates, calculations, and Reminders as a convenience, with full understanding that they may be incomplete, delayed, or inaccurate.
- You assume all risk associated with relying on any figure, date, calculation, or Reminder provided by BriteTrack, and you will independently verify all such information before taking or failing to take any action based on it.
14. Limitation of liability and release
To the fullest extent permitted by law:
- BriteTrack, its operators, employees, and affiliates are not liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service, including but not limited to: missed, late, or incorrect tax payments; tax penalties or interest; license lapses or suspensions; missed continuing education deadlines; missed or incorrect payments of any kind the Service reminded or failed to remind you about; or any other financial, professional, or licensing consequence.
- You expressly release, waive, and forever discharge BriteTrack and its operators from any and all claims, liabilities, damages, losses, or causes of action arising from missed, late, inaccurate, or undelivered Reminders, or from your reliance on any estimate, calculation, or figure generated by the Service, to the maximum extent permitted under applicable law.
- This release and limitation applies regardless of the legal theory asserted (contract, tort, negligence, or otherwise) and even if BriteTrack has been advised of the possibility of such damages.
- Nothing in this section is intended to, and does not, limit liability for gross negligence, willful misconduct, or any other liability that cannot be limited or waived under applicable law.
- If, notwithstanding the above, BriteTrack is found liable for any reason, our total liability to you for any claim arising from your use of the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) $50.
15. Termination
- We may suspend or terminate your access to BriteTrack if you violate these terms, including for abusive use, non-payment, fraud, or unauthorized access attempts.
- If we terminate your account for cause, no refund is owed for the remaining portion of any current billing period.
- You may stop using BriteTrack and delete your account at any time, as described in Sections 8 and 10.
16. Changes to these terms
We may update these terms from time to time. Continued use of BriteTrack after changes take effect constitutes acceptance of the updated terms. Material changes — including changes to pricing, cancellation, or refund terms — will be communicated where reasonably possible before they take effect.
17. Governing law
These terms are governed by the laws of the State of Hawaii, United States. If BriteTrack is later operated through a formed business entity (e.g. an LLC), that entity — rather than the individual founder — will be the operating party under these terms, and this document will be updated to reflect that.
